WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the United States Congress appropriated $1.9 trillion in the American Rescue Plan Act of 2021 (ARPA) which was signed into law on March 11, 2021, to help speed the United States' recovery from the economic and health effects of the COVID-19 pandemic, with a portion of the funding specifically allocated to Native American tribal governments; and, WHEREAS, ARPA permits the Nation to administer its portion of these funds to respond to the public health emergency, and the Nation desires to do so, by offering assistance to individual tribal members, replacing the Nation's lost governmental revenue, establishing necessary infrastructure in the Nation, paying certain portions of the Nation's payroll costs, offering education relief and various forms of assistance to the Nation's members, promoting public health and safety within the Nation and other purposes as determined appropriate; and, RESOLUTION # 22-02-CotW PAGE # 2 WHEREAS, the Tribal Legislature considers a one-time $1,4000 payment to tribal members with a self-certified demonstrated need for assistance is the best way to directly assist tribal members with the Nation's American Rescue Plan Act funds. Barrett Tribal Chairman CITIZEN POTAWATOMI NATION RESOLUTION # 22-03-CotW A RESOLUTION PLEDGING THE STOCK OF FIRST NATIONAL BANK AND TRUST COMPANY AS COLLATERAL FOR A $37 MILLION LOAN TO ACQUIRE FIRST STATE BANK OF OKLAHOMA CITY WITH REPAYMENT OF THE LOAN BY FIRST NATIONAL BANK AND TRUST COMPANY. L. 86-121, FOR NEW, RENOVATED AND LIKE NEW HOMES OFFERED THROUGH THE U.S. INDIAN HEALTH SERVICE. (PROJECT OK 21-F45 REVISED) WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the Citizen Potawatomi Nation submitted a Project Scope entitled "Citizen Potawatomi Water and Wastewater Facilities for New and Like-New Homes in Scattered Locations" to the U.S. Indian Health Service (IHS) under the office of Environmental Health Sanitation Facilities Construction Branch under the authority of P.L. 86-121 for the construction of sanitation facilities; and WHEREAS, the project, Project OK21-F45, was approved by the Legislature of the Citizen Potawatomi Nation on February 25, 2021 via Resolution #21-40-HHS for the amount of $750,000 to provide sanitation facilities to 38 eligible homes; and WHEREAS, the Citizen Potawatomi Nation Office of Environmental Health is now eligible for an additional $225,000 in funding which will allow sanitation facilities to be provided to an additional 4 eligible homes; and RESOLUTION # 22-04-HHS PAGE # 2 CITIZEN POTAWATOMI NATION WHEREAS, IHS will provide the funds and the Citizen Potawatomi Nation will design and construct the facilities under the provisions of the Self-Governance Compact that became effective in fiscal year 1998. The total cost to IHS for providing sanitation facilities to all 42 eligible homes is $975,000; and WHEREAS, the Citizen Potawatomi Nation fully supports the entire project for the construction of sanitation facilities as provided by the provisions of its Self-Governance Compact with IHS/DHHS that became effective in fiscal year 1998, and the Multi-year Funding Agreement 2018-2022 (MFA) with the IHS/DHHS executed by these parties and effective in April, 2018, in connection with said compact. NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION, that a resolution supporting an increase in funding offered by the Indian Health Services for the Citizen Potawatomi Nation's sanitation facilities construction program under P.L. 86-121 for new, renovated and like-new homes in scattered locations IS HEREBY APPROVED. NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and consistent with the separation of powers defined in the Constitution, if awarded, an appropriation of $975,000 (750,000 + $225,000) from the Office of Environmental Health (or other applicable accounts) for the implementation, negotiation, operation, enforcement, procurement, settlement, and or completion of this contract, compact, regulation or agreement by the Tribal Chairman or his designate IS HEREBY AUTHORIZED. The total cost to IHS for providing sanitation facilities to 45 eligible homes is $1,125,000; and RESOLUTION # 22-42-HHS PAGE # 2 CITIZEN POTAWATOMI NATION WHEREAS, the Citizen Potawatomi Nation fully supports the entire project for the construction of sanitation facilities as provided by the provisions of its Self-Governance Compact with IHS/DHHS that became effective in fiscal year 1998, and the Multi-year Funding Agreement 2018-2022 (MFA) with the IHS/DHHS executed by these parties and effective in April, 2018, in connection with said compact. WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the Department of Health and Human Services (DHHS), Indian Health Services is soliciting applications for funding for domestic violence prevention with a five- year funding term up to $195,000; and WHEREAS, CPN has a need for funding to support and expand its domestic violence prevention program; and WHEREAS, the CPN House of Hope Domestic Violence department project will emphasize culturally appropriate, community-based prevention practices addressing social, spiritual, physical, and emotional well-being of victims, and community outreach and education programs, including advocacy to provide victims increased access to services in the community, and collaborative interventions between legal and human services resulting in coordinated response to domestic violence. and, WHEREAS, the Citizen Potawatomi Industrial Development Authority ("IDA"); manages the Property pursuant to Ordinance 17-08-ED&C-T23 adopted by the Legislature of the Citizen Potawatomi Nation on March 6, 2017; and RESOLUTION # 22-48-CotW PAGE # 2 CITIZEN POTAWATOMI NATION WHEREAS, on or before the closing of the Financing Transaction, hereinafter defined, (the "Closing Date"), in connection with a New Markets Tax Credit financing (the "Financing Transaction"), IDA will lease the Property to SPT Landlord, LLC, a tribally chartered limited liability company pursuant to the laws of the Citizen Potawatomi Nation (the "QALICB"), pursuant to that certain Business Property Master Lease (IDA to QALICB), dated as of the Closing Date (the "Master Lease"), the QALICB will acquire and install certain equipment (the "Equipment") acquired with proceeds of the Financing Transaction and lease the Property to Sovereign Pipe Technologies, LLC, a tribally chartered limited liability company pursuant to the laws of the Citizen of Potawatomi Nation ("CPN") pursuant to that certain Business Property Sublease (QALICB to Sovereign Pipe) dated as of the Closing Date (the "Sublease") for the operation of its manufacturing facility (the "Project") in a manner that will qualify as a "qualified active low-income community business" as such term is defined in Section 45D(d)(2) of the Internal Revenue Code of 1986, as amended (the "Code"); and, WHEREAS, to facilitate the Project, CPN has made the certain deposits for certain equipment and will assign such certain purchase orders ("Assigned Property") to the IDA pursuant to that certain Assignment Agreement dated as of the Closing Date (the "Assigned Agreement"); and WHEREAS, the IDA will contribute to and assign the Assigned Property to the QALICB pursuant to the Contribution and Reimbursement Agreement (the "Contribution Agreement"); and, WHEREAS, the QALICB has requested that that Heartland Renaissance Fund Sub 41, LLC, an Arkansas limited liability company (the "CDE Lender"), provides certain loans (the "CDE Loan") in the approximate aggregate principal amount of $6,860,000 to the QALICB in connection with the Financing Transaction and the Project; and, WHEREAS, in connection with the Financing Transaction, CPN and the QALICB (collectively, the "Indemnitors") will be required to indemnify Wells Fargo Community Investment Holdings, LLC, a Delaware limited liability company, (the "Investor"), against the recapture or disallowance of the new market tax credits attributable to certain of the Company's acts or omissions, including but not limited to an act or omission causing the failure of the Company to be classified as a "qualified active low-income community business" under Section 45D of the Code pursuant to that certain QALICB Indemnity Agreement by CPN, the QALICB, IDA and GATO Corp., an Oklahoma corporation ("GATO") to the Investor dated as of the Closing Date (the "QALICB Indemnity"); and, RESOLUTION # 22-48-CotW PAGE # 3 CITIZEN POTAWATOMI NATION WHEREAS, in connection with the Financing Transaction, CPN will execute that certain Investment Fund Put and Call Agreement by and between the Company Investor dated as of the Closing Date (the "Put and Call Agreement"); and, WHEREAS, in connection with the Financing Transaction, CPN will execute that certain Completion Guaranty in favor of the CDE Lender dated as of the Closing Date ("Completion Guaranty"), that certain Environmental and Hazardous Materials Indemnity Agreement executed by the Indemnitors and SPT in favor of the CDE Lender and that certain NMTC Compliance and Reporting Agreement by and among CPN, IDA, GATO, the QALICB, the Fund and CDE Lender; and, WHEREAS, in connection with the Financing Transaction, CPN will also be required to execute and deliver that certain Certification Regarding Debarment, Suspension, Ineligibility and Voluntary Exclusion Lower Tier Covered Transactions, dated as of the Closing Date (the "Debarment Certificate") and that certain Fund Transfers and Authorizations Agreement by and among CPN, IDA, QALICB, Sovereign Pipe Investment Fund, LLC, a Delaware limited liability company, the CDE Lender, and certain other parties (the "Flow of Funds"); and, WHEREAS, all documents described in the foregoing Recitals and any other memoranda, documents, agreements, and certificates necessary to consummate the transactions contemplated herein are collectively referred to as the "Financing Documents"; and WHEREAS, CPN, acting through the Executive Branch (the "Executive Branch") has been presented or will be presented with substantially final drafts of the Documents to which it is a party; and WHEREAS, CPN will benefit from, and the Legislative Branch of CPN (the "Legislature") believe it is in the best interest of CPN to take the actions set forth below in connection with the above-described transactions and matters. NOW, THEREFORE, BE IT RESOLVED, BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION, that a resolution as follows, IS HEREBY APPROVED: 1. the Legislature does hereby approve, authorize, ratify, and confirm (a) the execution and delivery by CPN of the Financing Documents to which CPN is a party and (b) the consummation of all other transactions described in the recitals to this resolution and contemplated by the Financing Documents. 2. CPN shall be, and hereby is, authorized to undertake and perform all of its obligations under the Financing Documents to which it is a party, including promissory notes and all such other documents, instruments and borrowing authorizations, as may be necessary or appropriate to perform its obligations pursuant to the Financing Documents. CPN shall be, and hereby is, authorized to take any and all action, and to enter into, execute and deliver any such documents, as may be necessary or appropriate to enter into the Financing Documents and to perform its obligations under such documents. 4. John Barrett, in his capacity as the Tribal Chairman of CPN (the "Chairman"), is hereby authorized and directed to execute and deliver the Financing Documents to which Chairman will be a party in substantially the form presented to Executive Branch with such changes or additions thereto, or deletions therefrom, as such Executive Branch of CPN executing the same shall approve, which shall be conclusively evidenced by his execution of such instruments. 5. the Chairman is hereby authorized to enter into such other agreements and to take all such other actions as may be necessary or required of CPN in connection with the Financing Documents and the other agreements described in the foregoing resolution and any and all such other documents on the terms and conditions set forth in the forms thereof provided to CPN or upon such other or additional terms as the Authorized Representative of CPN shall deem appropriate. 6. the Authorized Representative is hereby authorized to enter into such other agreements and to take all such other actions as may be necessary or required of CPN in connection with the Financing Documents and to consummate the transactions contemplated by the Financing Documents. 7. any action heretofore taken by CPN in furtherance of the transactions contemplated by the foregoing resolutions shall be, and hereby is, ratified, affirmed, and approved in all respects.
