CITIZEN BAND POTAWATOMI INDIAN TRIBE OF OKLAHOMA INCORPORATED
A RESOLUTION BY CORPORATE BOARD OF DIRECTORS AUTHORIZING CORPORATE
OFFICERS TO EXECUTE AGREEMENTS WITH RACE HORSES, INC. AND GRANTING A
LIMITED WAIVER OF IMMUNITY FROM SUIT IN CONNECTION THEREWITH.
WHEREAS, the Citizen Band Potawatomi Indian Tribe of Oklahoma Incorporated
(""Corporation""), is a Federal Tribal Corporation authorized under the Oklahoma
Indian Welfare Act of June 26, 1936 (49 Stat. 1967) as the corporate entity of the
Citizen Potawatomi Nation, a federally recognized Indian Tribe formerly known as
the Citizen Band Potawatomi Indian Tribe of Oklahoma; and
WHEREAS, the Corporation is duly authorized and empowered by the corporate charter and by
laws to sue and be sued and to waive sovereign immunity; and
WHEREAS, the Corporation is negotiating agreements with Race Horse, Inc., d/b/a Blue
Ribbon Downs (""BRD""), to provide certain services related to pari-mutuel
wagering and simulcasting which agreement is captioned ""Firelake Intrastate
Common Pool Pari-Mutuel Wagering Agreement"" requiring contract reciprocity
and the resolutions of contractual disputes in the United States District Court for
the Western District of Oklahoma; and
WHEREAS, the Board of Directors has determined that said agreement is in the best interest of
the Corporation and that a limited waiver of sovereign immunity from suit for
contractual issues is fair, equitable and necessary for conducting business with
BRD; and
WHEREAS, The Board of Directors may by resolution authorize officers to execute contracts
in the name of, for and on behalf of the Corporation;

THAT Corporate Officers John A. Barrett, Jr., and Gene Bruno are hereby authorized to
negotiate and execute , for and on behalf of the Corporation FireLake Intrastate Common Pool
Pari-Mutuel Wagering Agreement with BRD including provisions waiving suit immunity and
authorizing suit in a federal court in Oklahoma for disputes arising under said agreement, and to
do all things necessary and proper to effectuate this authorization and THAT the Citizen Band
Potawatomi Indian Tribe of Oklahoma Incorporated hereby waives immunity from suit by Race
Horse, Inc., in a federal court in Oklahoma for the amount of money agreed to in said contract
plus reasonable attorney fees subject to all conditions contained in the Charter of Incorporation
issued by the Assistant Secretary of the Interior. The sovereign immunity waiver authorized herein
is not intended and shall not be construed as affecting the sovereign immunity of the Citizen
Potawatomi Nation.

WHEREAS, the Citizen Potawatomi Nation is a federally recognized tribe of American

WHEREAS, the Citizen Potawatomi Nation, the largest of the Potawatomi Indian Tribes,

Development firm, is submitting a proposal in response to ANA's Request
for Proposals to be received no later than August 10, 1998, and
WHEREAS, Ms. Nuttle has worked extensively with Oklahoma, Kansas, Texas, and other
Indian Tribes on state and national issues affecting social, economic and

Land Management; and
WHEREAS, Kraft and Kraft will be required to uphold authorities to include: National Historic
Preservation Act of 1966 (as amended), American Indian Religious Freedom Act
of 1978, Antiquities Act of 1906, Archaeological Resource Protection Act of
1979 (as amended), Archeological and Historic Preservation Act of 1974, Historic
Sites Act of 1935, National Environmental Policy Act of 1969, and Native
American Graves Protection and Repatriation Act of 1990; and
WHEREAS, the terms of each individual contract shall require approval by the Tribal
Chairman and/or Business Committee and require the certifying signature of the
Tribal Chairman; and
WHEREAS, this resolution shall remain in effect for as long as Kenneth C. Kraft and Lisa A.
Kraft are employees of the Citizen Potawatomi Nation and/or acting in this
capacity for the Nation.

WHEREAS, the Citizen Potawatomi Nation is a federally recognized tribe of American

WHEREAS, the Corporation is negotiating agreements with Tulsa County Public Facilities
Authority d/b/a/ Fair Meadows at Tulsa ("Tulsa Fair"), to provide certain services
related to pari-mutuel wagering and simulcasting which agreement is captioned
"FireLake Intrastate Common Pool Pari-Mutuel Wagering Agreement" requiring
contract reciprocity and the resolutions of contractual disputes in the United States
District Court for the Western District of Oklahoma; and
WHEREAS, the Board of Directors has determined that said agreement is in the best interest of
the Corporation and that a limited waiver of sovereign immunity from suit for
contractual issues is fair, equitable and necessary for conducting business with
Tulsa Fair; and
WHEREAS, The Board of Directors may by resolution authorize officers to execute contracts in
the name of, for and on behalf of the Corporation;

NOW THEREFORE BE IT RESOLVED BY THE BOARD OF DIRECTORS FOR THE
CITIZEN BAND POTAWATOMI INDIAN TRIBE OF OKLAHOMA INCORPORATED THAT
Corporate Officers John A. Barrett, Jr., and Gene Bruno are hereby authorized to negotiate and
execute, for and on behalf of the Corporation FireLake Intrastate Common Pool Pari-Mutuel
Wagering Agreement with Tulsa Fair including provisions waiving suit immunity and authorizing
suit in a federal court in Oklahoma for disputes arising under said agreement, and to do all things
necessary and proper to effectuate this authorization and THAT the Citizen Band Potawatomi
Indian Tribe of Oklahoma Incorporated hereby waives immunity from suit by Tulsa County Public
Facilities Authority, in a federal court in Oklahoma for the amount of money agreed to in said
contract plus reasonable attorney fees subject to all conditions contained in the Charter of
Incorporation issued by the Assistant Secretary of the Interior. The sovereign immunity waiver
authorized herein is not intended and shall not be construed as affecting the sovereign immunity of
the Citizen Potawatomi Nation.

A RESOLUTION FOR APPLICATION FOR FUNDING A PROJECT TO
REDUCE UNDERAGE DRINKING OFFERED BY THE U.S. DEPARTMENT OF
JUSTICE THROUGH NATIVE AMERICAN CONNECTIONS, INC.
WHEREAS, the Citizen Potawatomi Nation is a federally recognized tribe of American
Indians with constitutional authority under the Thomas-Rogers Oklahoma
Indian Welfare Act of June 26, 1936, (40 Stat. 1967); and
WHEREAS, the Citizen Potawatomi Nation, the largest of the Potawatomi Indian
Tribes, has, through a continuation of Potawatomi history and organized
self government since time immemorial, sovereign powers inherent in
tribal tradition and recognized by treaties with the United States and in the
United States Constitution; and
WHEREAS, the Citizen Potawatomi Nation Constitution and By-Laws provide that the
Business Committee is empowered to enact legislation, transact business,
and otherwise speak or act on behalf of the Citizen Potawatomi Nation in
all matters on which the Tribe is empowered to act now or in the future;
and
WHEREAS, the U.S. Department of Justice has provided a grant to Native American
Connections, Inc, (NACI) located in Phoenix, Arizona; and
WHEREAS, the major intent of this grant is to contract with Native American Tribes
and Alaska Natives to provide services with a special emphasis on
enforcing underage drinking laws; and
WHEREAS, NACI is administering this initiative and soliciting proposals for projects
that range from $45,000 to $50,000, and will provide technical assistance
to the successful contractors; and
WHEREAS, the Citizen Potawatomi Nation wishes to develop a model program to
reduce underage drinking; NOW

THEREFORE BE IT RESOLVED, that the Business Committee of the Citizen
Potawatomi Nation supports and hereby authorizes the submission of an application on
behalf of the Citizen Potawatomi Nation for a model project to reduce underage drinking.
