CITIZEN POTAWATOMI NATION RESOLUTION # 12-01-HHS A RESOLUTION SUPPORTING AN INCREASE IN FUNDING FOR THE CITIZEN POTAWATOMI NATION'S SANITATION FACILITIES CONSTRUCTION PROGRAM, P.L. 86-121 FOR NEW AND LIKE NEW HOMES OFFERED THROUGH THE U.S. INDIAN HEALTH SERVICE (PROJECT OK 11-D90) WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the Citizen Potawatomi Nation is submitting a Project Scope entitled "Citizen Potawatomi Scattered Housing" to the U.S. Indian Health Service (IHS) under the office of Environmental Health Sanitation Facilities Construction Branch under the authority of P.L. 86-121 for the construction of sanitation facilities; and WHEREAS, the IHS will provide the funds and the Citizen Potawatomi Nation will design and construct the facilities under the provisions of the Self-Governance Compact that became effective in fiscal year 1998. The total cost to IHS for providing sanitation facilities to 35 eligible homes is $329,000.00; RESOLUTION # 12-01-HHS PAGE # 2 CITIZEN POTAWATOMI NATION THEREFORE BE IT RESOLVED, that the Citizen Potawatomi Nation fully supports the entire project for the construction of sanitation facilities as provided by the provisions of its Self- Governance Compact with IHS/DHHS that became effective in fiscal year 1998, and the multi- year funding agreement with the IHS/DHHS executed by these parties and which became effective in fiscal year 2008. NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION, that a resolution supporting an increase in funding offered by the Indian Health Services for sanitation facilities construction program under P.L. 86-121 for new and like-new homes IS HEREBY APPROVED. NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and consistent with the separation of powers defined in the Constitution, if awarded, an appropriation of $329,000 from the Office of Environmental Health (or other applicable accounts) for the implementation, negotiation, operation, enforcement, procurement, settlement, and or completion of this contract, compact, regulation or agreement by the Tribal Chairman or his designate IS HEREBY AUTHORIZED. The Tribal match of $13,220 includes land, prayer circle and traditional wikiup as well as labor costs. Barrett Tribal Chairman CITIZEN POTAWATOMI NATION RESOLUTION # 12-23-Ed A RESOLUTION AUTHORIZING THE CITIZEN POTAWATOMI NATION'S PROPOSED EMPLOYMENT & TRAINING PUBLIC SERVICE FACILITY APPLICATION FOR FUNDING THROUGH THE UNITED STATES DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT UNDER THE FISCAL YEAR 2012 INDIAN COMMUNITY DEVELOPMENT BLOCK GRANT PROGRAM WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the United States Department of Housing and Urban Development (HUD) is soliciting grant applications of up to $800,000 through the Fiscal Year 2012 Indian Community Development Block Grant (ICDBG) program; and WHEREAS, the Citizen Potawatomi Nation is proposing the construction of a new CPN Employment & Training building, an 8,000 square foot facility, in Shawnee, Oklahoma under Public Facilities and Improvement Projects; and WHEREAS, the Employment & Training Public Service Facility will meet an essential community need by upgrading and improving the current public facility that provides community assistance to low-to-moderate income beneficiaries; and WHEREAS, a public meeting notice has been published and a public meeting will be held to solicit comments from Tribal and community members regarding the proposed RESOLUTION # 12-23-Ed PAGE # 2 CITIZEN POTAWATOMI NATION community development project pursuant to citizen participation requirements as set forth in 24 CFR 1003.604; and WHEREAS, the Employment & Training facility will be constructed following applicable standards and guidelines from the Building Officials and Code Administrators (BOCA), Life and Safety Codes, and Americans with Disabilities Act (ADA); and WHEREAS, the project period for the proposed construction project is 2 years, with a total project cost of $1,075,000 of which $800,000 (or 74%) is the Federal share, and $275,000 (or 26%) is Tribal leverage; and WHEREAS, Tribal leverage, valued at $125,000, will consist of a parking lot and cash. NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION that a resolution supporting and approving the Citizen Potawatomi Nation's proposed Employment & Training Public Service Facility application for funding through the 2012 ICDBG program IS HEREBY APPROVED. WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967) and the Oklahoma Indian Welfare Act of June 26, 1936, (40 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the Citizen Potawatomi Nation is submitting a Project Scope entitled "CPN/Scattered Existing Homes Water & Sewer" to the U.S. Indian Health Service (IHS) under the office of Environmental Health Sanitation Facilities Construction Branch under the authority of P.L. 86-121 for the construction of sanitation facilities; and WHEREAS, IHS notified the Citizen Potawatomi Nation by letter dated June 27, 2011, of the Nation's selection as a recipient of funding through the United States Environmental Protection Agency (EPA) under the Indian Set-Aside provisions of the Clean Water Act (CWA) for the wastewater facilities portion of the needed sanitation facilities within the CPN service area; and RESOLUTION # 12-24-HHS PAGE # 2 CITIZEN POTAWATOMI NATION WHEREAS, a portion of the needed funds will be provided by the United States Environmental Protection Agency to the Indian Health Service who will in turn pass the funds to the Citizen Potawatomi Nation ($157,000); another portion will come directly from IHS funding ($47,900) and a portion will be in the form of tribal match ($2,100). The Nation will design and construct the facilities under the provisions of the Self-Governance Compact that became effective on October 1, 1998. The total cost for providing sanitation facilities to 33 homes is $207,000; and NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION, that a resolution supporting the entire project for construction of sanitation facilities as provided by the provisions of the Citizen Potawatomi Nation's Self Governance Compact with IHS/DHHS effective on October 1, 1998 and the multi-year funding agreement for 2008-2010 as executed by these parties and effective on October 1, 2007 IS HEREBY APPROVED. Barrett Chairman CITIZEN POTAWATOMI NATION RESOLUTION # 12-25-HHS A RESOLUTION SUPPORTING THE CITIZEN POTAWATOMI NATION'S COMMUNITY SAFE ROOMS PROJECT APPLICATION FOR FUNDING THROUGH THE FEDERAL EMERGENCY MANAGEMENT AGENCY'S (FEMA) FY 2012 PRE-DISASTER MITIGATION PROGRAM AND AUTHORIZING THE IMPLEMENTATION THEREOF, IF AWARDED WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and, recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the Federal Emergency Management Agency (FEMA), through its Pre-Disaster Mitigation program, has announced availability of Fiscal Year 2012 funds for cost effective hazard mitigation projects to reduce injuries, loss of life, and damage and destruction of property; and WHEREAS, eligible applicants may request federal funding for 75% of the cost for projects up to $3,000,000, not to exceed three years; and WHEREAS, the Citizen Potawatomi Nation is an eligible applicant with a current Hazard Mitigation Plan that identifies tornadoes as a high priority hazard due to the potential loss of life and destruction of property caused by the high winds resulting from frequent tornadoes; and WHEREAS, the Tribal Community Storm Safe Room construction project will mitigate the potential damage and loss of life within the Citizen Potawatomi Nation resulting from the hazard of tornadoes by providing safe and secure shelter during a tornado event; and RESOLUTION # 12-25-HHS PAGE # 2 CITIZEN POTAWATOMI NATION WHEREAS, an Engineering Feasibility Study has been completed that shows the project is feasible and has the potential to reduce or eliminate the loss of life in highly populated areas of tribal lands; WHEREAS, the Tribal Community Storm Safe Room construction project is proposed at the FireLake Grand Casino location; and WHEREAS, the Tribal Community Storm Safe Room construction project requires that the Tribe have long-term operation and maintenance and obligations and associated costs to maintain the Community Story Safe Room in a manner that will achieve the proposed hazard mitigation; and WHEREAS, there is a 25% non-Federal cost share requirement, cash or in-kind, for which the Citizen Potawatomi Nation is required to contribute; however, the Tribe will plan to contribute a total of up to 42% of total project costs; NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION, that a resolution supporting the Citizen Potawatomi Nation's Community Storm Shelters project grant application IS HEREBY APPROVED. NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and consistent with the separation of powers defined in the Constitution, an appropriation of up to $3,000,000 from the FY12 FEMA Pre-Disaster Mitigation Project fund (or other applicable account), if awarded, and authorizes up to $2,200,000 cost sharing from the Enterprise Income Account, or Tax Account for the implementation, negotiation, operation, enforcement, procurement, settlement, and or completion of this contract, or agreement by the Tribal Chairman or his designate IS HEREBY AUTHORIZED. Barrett Tribal Chairman CITIZEN POTAWATOMI NATION RESOLUTION # 12-26-NR A RESOLUTION APPROVING A FEE-TO-TRUST ACQUISITION APPLICATION TO THE BUREAU OF INDIAN AFFAIRS AND REQUEST FOR TRUST ACQUISITION OF THE (NON-GAMING/ON RESERVATION) PHILLIPS PROPERTY WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the Citizen Potawatomi Nation is making application to the Southern Plains Regional Office of the Bureau of Indian Affairs to request transfer of "fee- simple" title to the "United States of America in Trust for the Citizen Potawatomi Nation"; and WHEREAS, the Legislature believes that increasing the tribal land base furthers the pursuit of Tribal Self Determination and allows future generations of tribal leaders to have the flexibility to use the land for the health, welfare, and sovereignty of the Citizen Potawatomi Nation; and WHEREAS, Section 5 of the Indian Reorganization Act of June 18, 1934 (48 Stat. 985; 25 USC 465) provides authority for the Fee-to-Trust acquisition; and RESOLUTION # 12-26-NR PAGE # 2 CITIZEN POTAWATOMI NATION WHEREAS, the property is ON-reservation or within the former reservation boundaries of the Citizen Potawatomi Nation, legally described in Attachment A; and listed in the Pottawatomie County Treasurer's records as parcel ID # 0000-28-010-004-0- 010-00 (Phillips tract); and WHEREAS, the property was purchased with tribal funds for NON-gaming use; and WHEREAS, the Citizen Potawatomi Nation owns the surface rights to the property in fee simple and the land is currently not under lease; and WHEREAS, the current and proposed land use is agriculture; and WHEREAS, there are improvements and the property has ingress and egress for adequate traffic services. The proposed land use is agriculture and is necessary to facilitate tribal self determination and agriculture. WHEREAS, the Citizen Potawatomi Nation agrees to indemnify and hold harmless the United States, its agents and employees, against any lawsuits, loss, expense, and claim potentially filed against the tribe for any damages relating to asbestos and lead- based paint, if any, associated with the improvements located on the property described in Attachment A; and NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION that a resolution supporting the Fee-to-Trust acquisition application to the Southern Plains Regional Office of the Bureau of Indian Affairs and trust acquisition of the Phillips Property, IS HEREBY APPROVED. WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and RESOLUTION # 12-34-App PAGE # 2 CITIZEN POTAWATOMI NATION WHEREAS, the Legislature of the Citizen Potawatomi Nation has authorized the Executive Branch of the Citizen Potawatomi Nation to enter into a legally binding agreement, and to sign all such documents on behalf of the Nation, in the amount of seventy million dollars ($70,000,000.00), including, but not limited to, the Limited Waiver of Sovereign Immunity contained therein. NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN POTAWATOMI NATION that a resolution authorizing the Citizen Potawatomi Nation (A) to enter into an irrevocable limited waiver of sovereign immunity in an amount of $70,000,000 or, if less, the outstanding principal amount of the Revolving Loans, and the Executive Officers of the Nation are hereby authorized to execute said Limited Waiver of Sovereign Immunity on behalf of the Nation in a form substantially as follows, and (B) to provide herein an independent, irrevocable limited waiver of sovereign immunity on the same basis for the same purpose as follows, IS HEREBY APPROVED. Section 9.9 Limited Waiver of Sovereign Immunity; Consent to Jurisdiction, etc.. Limited Waiver of Sovereign Immunity; Consent to Jurisdiction. Nothing herein shall be deemed to be a general waiver of the Citizen Potawatomi Nation's sovereign immunity from suit, except that the Citizen Potawatomi Nation(the Borrower) hereby provides an irrevocable limited waiver of its sovereign immunity in an amount of $70,000,000 or, if less, the outstanding principal amount of the Revolving Loans, plus any interest, fees and any other amounts due or which may become payable by the Borrower hereunder or under any other Loan Document, and consents to suit, enforcement and collection of judgment or award, injunction, specific performance, or declaratory relief as to any right, obligation or duty arising out of or under any or all of the Loan Documents, and for such purposes the Borrower hereby expressly submits to and consents to the jurisdictions of (i) the United States District Court for the District of Oklahoma, or (ii) in the event that the United States District Court for the District of Oklahoma determines that it lacks jurisdiction over any such proceeding or otherwise fails or refuses to act, then to the jurisdiction of the Oklahoma State District Court, and (iii) if none of the foregoing courts shall have jurisdiction, then any other court having jurisdiction over the matter and parties. The purpose of this explicit waiver of tribal sovereign immunity is to induce the Lenders to enter into the transactions contemplated by the Loan Agreement and is intended to allow the Lenders to enforce any and all rights the Lenders may have against the Borrower under the Loan Agreement, any of the Loan Documents, or under RESOLUTION # 12-34-App PAGE # 3 CITIZEN POTAWATOMI NATION law. The Borrower understands that the Lenders would not enter into the transactions contemplated by the Loan Agreement without this waiver of sovereign immunity. The Lenders understand that the Borrower grants this limited waiver of sovereign immunity as a fairness doctrine and its belief in equity in contracting. It is expressly understood and agreed that, regardless of the court which may hear any suit or dispute arising out of or relating to the Loan Agreement or any of the Loan Documents, the Loan Agreement and the Loan Documents shall be construed in accordance with and governed by the laws of the State of Oklahoma (other than its conflicts of laws provisions) and by applicable federal law, except to the extent that the Uniform Commercial Code of the State of Oklahoma does not recognize a perfected Lien on any Collateral pursuant to the Security Documents, and the Borrower's Uniform Commercial Code does recognize such a perfected Lien, the Borrower's Uniform Commercial Code shall apply. The waivers and consents described in this Section shall inure to the benefit of the Lenders and each other Entity who is entitled to the benefits of the Loan Documents (including without limitation the indemnified persons referred to in Section 9.12 of the Loan Agreement). The Lenders and such other Entities shall have and be entitled to all available legal and equitable remedies. L. 86-121 FOR NEW AND LIKE NEW HOMES OFFERED THROUGH THE U.S. INDIAN HEALTH SERVICE (PROJECT OK 12-E05) WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition, derived from a history of organized self-government since time immemorial, and recognized by treaties with the United States and in the Constitution of the United States; and WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a separation of powers of the Tribal government by the reservation and delegation of specific powers to other entities of the Tribal government; and, except for these specific limitations, all other general powers of government are embodied in the Legislature's authority "to enact legislation, transact business, and otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act now or in the future"; and WHEREAS, the Citizen Potawatomi Nation is submitting a Project Scope entitled "Citizen Potawatomi Scattered Housing" to the U.S. Indian Health Service (IHS) under the office of Environmental Health Sanitation Facilities Construction Branch under the authority of P.L. 86-121 for the construction of sanitation facilities; and WHEREAS, the IHS will provide the funds and the Citizen Potawatomi Nation will design and construct the facilities under the provisions of the Self- Governance Compact that became effective in fiscal year 1998. The total cost to IHS for providing sanitation facilities to 29 eligible homes is $247,000.00; RESOLUTION # 12-63-HHS PAGE # 2 CITIZEN POTAWATOMI NATION THEREFORE BE IT RESOLVED, that the Citizen Potawatomi Nation fully supports the entire project for the construction of sanitation facilities as provided by the provisions of its Self- Governance Compact with IHS/DHHS that became effective in fiscal year 1998, and the multi- year funding agreement with the IHS/DHHS executed by these parties and which became effective in fiscal year 2008.
