RESOLUTION #24-01-App
A RESOLUTION AUTHORIZING THE TRIBAL CHAIRMAN OR HIS DESIGNEE TO
OPEN ONE OR MORE INTEREST BEARING CASH ACCOUNTS WITH F&M BANK.
WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American
Indians with Constitutional authority under the Act of June 18, 1934 and the
Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal
tradition, derived from a history of organized self-government since time
immemorial, and recognized by treaties with the United States and in the
Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a
separation of powers of the Tribal government by the reservation and delegation
of specific powers to other entities of the Tribal government; and, except for
these specific limitations, all other general powers of government are embodied
in the Legislature's authority "to enact legislation, transact business, and
otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters
on which the Nation is empowered to act now or in the future"; and
WHEREAS, the Citizen Potawatomi Nation receives Federal and State (in the form of federal
pass-throughs) public funds for the benefit and operation of tribal programs that
help satisfy the Federal government's treaty trust responsibilities to the Nation
and to Native Americans within the Nation's service territory; and
WHEREAS, the Citizen Potawatomi Nation may place these excess public funds in interest
bearing, insured or collateralized accounts that meet all requirements for Federal
and State public funds and thereby earn interest on these public funds until said
funds are needed to fulfill their intended contractual purposes;

NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN
POTAWATOMI NATION that a resolution authorizing the Tribal Chairman or his Designee to
open one or more interest bearing cash accounts with F&M Bank, provided that these accounts
meet all of the requirements for Federal and State public funds IS HEREBY APPROVED.

A RESOLUTION PURSUANT TO PUBLIC LAW 102-477 REGARDING

WHEREAS, the Citizen Potawatomi Nation administers Department of Health & Human
Services Child Care Development Block Grant and Community Services Block
Grant, LIHEAP, DOJ Reentry Grant, Bureau of Indian Affairs, Adult Vocational
Training, Employment Assistance, Higher Education, Adult Education, General
Assistance, Child Assistance, Assistance with Care of Custodial Adults, Burial
Assistance, Emergency Assistance and Johnson O'Malley programs as well as the
Department of Labor Workforce Investment Act and Family Preservation
programs under Title IV-B 1 & 2; and
WHEREAS, Congress has enacted Public Law 102-477 which allows Tribes to voluntarily
consolidate employment training and related programs as well as the funding
received for those programs, and allows greater flexibility in their development,
coordination and operation; and

WHEREAS, Funding for the 477 Program is primarily formula driven and appropriated
annually by the federal agencies (DOL, BIA, DOJ and DHHS) and is estimated,
based on FY2023 actual funding, to be $20,669,690 for each fiscal year 2024-
2029.
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN
POTAWATOMI NATION that a resolution consolidating these employment and training and
related programs and authorizing them to be administered in accordance with the Nation's 102-477
plan, IS HEREBY APPROVED.
NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and
consistent with the separation of powers defined in the Constitution, if awarded, an appropriation
of federal funds up to $20,669,690 per year from the 477 fund for the implementation, negotiation,
operation, enforcement, procurement, settlement, and or completion of this contract, compact,
regulation or agreement by the Tribal Chairman or his designate IS HEREBY AUTHORIZED.

A RESOLUTION APPROVING THE CITIZEN POTAWATOMI NATION'S
APPLICATION FOR FUNDING UNDER THE UNITED STATES DEPARTMENT OF
INTERIOR, BUREAU OF INDIAN AFFAIRS LIVING LANGUAGE GRANT
PROGRAM.
WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with
Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare
Act of June 26, 1936, (49 Stat. 1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition,
derived from a history of organized self-government since time immemorial, and
recognized by treaties with the United States and in the Constitution of the United States;
and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a
separation of powers of the Tribal government by the reservation and delegation of specific
powers to other entities of the Tribal government; and, except for these specific limitations,
all other general powers of government are embodied in the Legislature's authority "to
enact legislation, transact business, and otherwise speak and act on behalf of the Citizen

WHEREAS, the Bureau of Indian Affairs (BIA) through the Office of Indian Economic Development
(OIED) has announced the availability of FY 2023 funds for Native language immersion
projects to ensure continuing revitalization of Native American languages and long-term
sustainable success; and
WHEREAS, the Citizen Potawatomi Nation is proposing the development of a Master Apprentice
language program in which apprentices will be hired to learn Potawatomi using an
immersion model, progressing in mastery each year for three years. Once apprentices have
adequate skill, they will teach at various CPN enterprises/departments; and

WHEREAS, the Master Apprentice language project period is three years, with a total project cost not
to exceed $300,000 per year.
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN
POTAWATOMI NATION that a resolution supporting and approving the Citizen Potawatomi Nation's
proposed application for funding through the FY 2023 Living Language Grant Program IS HEREBY
APPROVED.
NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and consistent with
the separation of powers defined in the Constitution, if awarded, an appropriation of federal funds up to
$900,000 from the FY 2023 Living Language Grant Program fund for the implementation, negotiation,
operation, enforcement, procurement, settlement, and or completion of this contract, compact, regulation
or agreement by the Tribal Chairman or his designate IS HEREBY AUTHORIZED.

SECURITY CYBERSECURITY AND INFRASTRUCTURE SECURITY AGENCY
FISCAL YEAR 2023 GRANT PROGRAM.

Indians with Constitutional authority under the Act of June 18, 1934 and
the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in
Tribal tradition, derived from a history of organized self-government since
time immemorial, and recognized by treaties with the United States and in
the Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides
for a separation of powers of the Tribal government by the reservation and
delegation of specific powers to other entities of the Tribal government;
and, except for these specific limitations, all other general powers of
government are embodied in the Legislature's authority "to enact
legislation, transact business, and otherwise speak and act on behalf of the

WHEREAS, the Citizen Potawatomi Nation has identified a need to support its
Information Technology structure through cybersecurity enhancement to
improve the overall security level of information at the Nation; and
WHEREAS, the Department of Homeland Security, Cybersecurity and Infrastructure
Security Agency (CISA) has announced the availability of grant funds to
prevent, protect against, respond to, and recover from terrorist attacks and
Strengthen National Preparedness and Resilience; and

WHEREAS, the Citizen Potawatomi Nation is eligible for and desires to apply for
funding in an amount up to $500,000 under the Cybersecurity and
Infrastructure Security Agency Grant Program with an expected 20 percent
match requirement.
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE
CITIZEN POTAWATOMI NATION that a resolution approving the funding request to
the Department of Homeland Security, Cybersecurity and Infrastructure Security Agency
Grant Program IS HEREBY APPROVED.
NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution
and consistent with the separation of powers defined in the Constitution, if awarded, an
appropriation of federal funds up to $500,000 from the FY23 Cybersecurity and
Infrastructure Security Agency Grant program for the implementation, negotiation,
operation, enforcement, procurement, settlement, and or completion of this contract,

AUTHORIZED.

WHEREAS, the Citizen Potawatomi Nation is making application to the Southern Plains Regional
Office of the Bureau of Indian Affairs to request transfer of "fee-simple" title to the
"United States of America in Trust for the Citizen Potawatomi Nation"; and
WHEREAS, the Legislature believes that increasing the tribal land base furthers the pursuit of Tribal
Self Determination and allows future generations of tribal leaders to have the flexibility
to use the land for the health, welfare, and sovereignty of the Citizen Potawatomi Nation;
and
WHEREAS, Section 5 of the Indian Reorganization Act of June 18, 1934 (48 Stat. 985; 25 USC 465)
provides authority for the Fee-to-Trust acquisition; and

WHEREAS, the property is ON-reservation or within the former reservation boundaries of the Citizen
Potawatomi Nation, legally described in Attachment A and listed in the Pottawatomie
County Treasurer's records as parcel ID #0000-30-010-004-007-00 and parcel ID #0000-

RE: Proposed Amendments to the NCAI Constitution
Dear President Sharp and the NCAI Executive Committee:
In accordance with Article VIl of the NCAI Constitution, we respectfully submit the
enclosed proposed amendments to the NCAI Constitution to the NCAI national office and
request that the Executive Committee review and submit them to the NCAI membership for
consideration and vote at the upcoming Annual Meeting in New Orleans in November 2023.
The proposed amendments clarify NCAI's definition of tribal membership so that NCAl
may to continue to effectively pursue its critical mission of preserving sovereign rights under
treaties and agreements with the United States. The current NCAI definition of "tribal
membership" establishes four subjective criteria that a "tribe" must meet to be eligible for NCAI
tribal membership:
• "A substantial number of its members reside upon the same reservation, or (in the
absence of a reservation) in the same general locality;''
• "It maintains a tribal organization, with regular officers and the means of transacting
business and arriving at a reasonably accurate count of its membership;"
• "It is not a mere offshoot or fraction of an organized tribe itself eligible for membership;
and,"
• ''It is recognized as a tribe, or other identifiable group of American Indians by the
Department of the Interior, Court of Claims, the Indian Claims Commission, or a State.
An Indian or Alaska Native organization incorporated/chartered under state law is not
eligible for tribal membership."
For many reasons this definition is flawed. Most obviously, its vagueness renders it
simultaneously too narrow and overbroad. On the one hand, the definition adds additional
subjective tribal membership criteria for federally acknowledged tribal nations - e.g., a
"substantial number" of members residing on a reservation. On the other, the definition allows
groups with no acknowledgment from any other sovereign whatsoever to be full tribal members
with the same voting rights as established tribal sovereigns. Groups claiming to be tribes that are
acknowledged as tribes by states are also eligible for NCAI tribal membership but should not be.
State standards for tribal acknowledgment are minimal at best. In fact, NCAI today includes as
full tribal members state-recognized groups that were found to have little to no Native ancestry
within their membership when they sought federal recognition through the federal
acknowledgment process. NCAI must get its house in order by addressing this flawed
membership standard. Neglecting to do so undermines the sovereignty and voices of established
tribal sovereigns.
We propose a simple solution to this problem. Federally recognized tribal nations should
be eligible for tribal membership with full voting rights within the organization. The proposed
amendments would permit only tribes with treaty and/or trust relations with the United States to
be eligible for tribal membership. State-recognized groups could continue to participate in NCAI
and hold Organization Associate Membership. Non-federally acknowledged groups that
currently hold tribal member status would be deemed to be Organization Associate Members.
With these much-needed corrections, NCAI will be poised to better act in the interest of its
sovereign member tribes.
Finally, Inter-tribal organizations from across the United States support these changes.
The Affiliated Tribes of Northwest Indians (ATNI), the Coalition of Large Tribes (COLT), the
Great Plains Tribal Chairmen's Association (GPTCA), and the United Indian Nations of
Oklahoma (UINO) all support changes to NCAI membership.

A RESOLUTION APPROVING THE OPERATING BUDGETS OF THE
CITIZEN POTAWATOMI NATION FOR FISCAL YEAR2024.
WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American Indians with
Constitutional authority under the Act of June 18, 1934 and the Oklahoma Indian Welfare
Act of June 26, 1936, (49 Stat. 1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition,
derived from a history of organized self-government since time immemorial, and
recognized by treaties with the United States and in the Constitution of the United States;
and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a
separation of powers of the Tribal government by the reservation and delegation of
specific powers to other entities of the Tribal government; and, except for these specific
limitations, all other general powers of government are embodied in the Legislature's
authority "to enact legislation, transact business, and otherwise speak and act on behalf of
the Citizen Potawatomi Nation in all matters on which the Nation is empowered to act
now or in the future"; and
WHEREAS, the Legislature has been provided copies of the budget containing every program budget
funded by the Department of the Interior/Bureau of Indian Affairs FY 2024 Annual
Funding Agreement including Department of Labor - PL 102-477 and Department of
Health and Human Services Child Care funds, Indirect Costs, Department of Health and
Human Services/Indian Health Service FY 2024 Annual Funding Agreement, Federal
Grants and Contracts, Tribal Programs and Enterprises; and
WHEREAS, the Legislature recognizes that budgets provided are intended as management and
planning tools for each program and service provided by the Citizen Potawatomi Nation;
and

WHEREAS, the Legislature accepts that budget line items may or may not change over the next 12

POTAWATOMI NATION, that a resolution approving the Citizen Potawatomi Nation operating budgets
for Fiscal Year 2024, as presented, IS HEREBY APPROVED.

the separation of powers defined in the Constitution, an appropriation of $678,739,873.00 from the

financial information and/or drawdowns from your tribal trust accounts that are maintained by the
Bureau of Trust Funds Administration (BTFA). Such responses are sometimes delayed by the
absence of a current tribal resolution that identifies those officials who are authorized to initiate
financial transactions, obtain information, or give investment instruction. For example, we often
receive disbursement requests from different tribal officials and it causes delays when we have to
verify if the authorization is appropriate.
So that we may respond immediately to valid requests affecting your accounts, please provide our
office with a current tribal resolution that identifies the various tribal officials who are authorized to
act for the Tribe. We need specific instruction about which individual has authority over your
different accounts. For example:
• Who is authorized to receive information about your Tribal trust accounts?
• Who is authorized to provide disbursement instructions?
• Who is authorized to provide investment instructions?
• Can the same persons act for all your accounts?
Please give this matter your careful consideration so that we know for certain, to whom we should
respond to in carrying out the wishes of the Tribe while still protecting the confidentiality of tribal
business affairs.
Please complete the enclosed form and include the names and signatures of authorized officials
who can receive tribal account information, initiate tribal disbursements, and provide investment
instructions to BTFA. Please include the tribal election date and the term(s) of office. In the case
of a tribal attorney, CPA, or other authorized employee, please include the provider's contract
expiration date.
If you need to amend the form to accommodate more persons or specific particular Tribal
accounts, please do so at your discretion. When we receive this information, we can be mutually
assured that your Tribe's financial privacy will not be compromised by lack of information. This

projects for new and like new homes; scattered existing individual homes; and,
community projects to the U.S. Indian Health Service (IHS) under the office of
Environmental Health Sanitation Facilities Construction Branch under the authority of
P.L. 86-121 for the construction of sanitation facilities; and,
WHEREAS, IHS will provide the funds and the Citizen Potawatomi Nation will design and construct
the facilities under the provisions of the Self-Governance Compact that became effective
in fiscal year 1998; and,

WHEREAS, the Citizen Potawatomi Nation fully supports the entire project for the construction of
sanitation facilities as provided by the provisions of its Self-Governance Compact with

Agreement 2023-2027 (MFA) with the IHS/DHHS executed by these parties and
effective in August 2023, in connection with said compact.

POTAWATOMI NATION, that a resolution accepting and supporting funding offered by the Indian
Health Services for the Citizen Potawatomi Nation's sanitation facilities construction program under P.L.

2028 Transportation Improvement Plan which must be submitted to the Federal Highway
Administration; and

the tribal land base which furthers the pursuit of Tribal Self Determination and allows

data analysis to identify and include safety hazards within the Citizen
Potawatomi Nation's jurisdictional area. This data will then be used to correct
deficient safety concerns as funds are available.

WHEREAS, the Citizen Potawatomi Nation tribal lands and allotments currently have
problems with invasive eastern red cedar and Scotch thistle, which require
focused efforts for eradication and damage mitigation; and

increasing the tribal land base which furthers the pursuit of Tribal Self Determination and

financing operating overhead; and
WHEREAS, the working capital calculation supports a $20,000,000 need, a banking line of
credit is preferred to fund the working capital. This line of credit will allow SPT
to operate the business model independently from relying on funding from the
Nation.

WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American
Indians with Constitutional authority under the Act of June 18, 1934 and
the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in
Tribal tradition, derived from a history of organized self-government since
time immemorial, and recognized by treaties with the United States and in
the Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides
for a separation of powers of the Tribal government by the reservation and

and, except for these specific limitations, all other general powers of

WHEREAS, the U.S. Department of Energy (DOE), Grid Deployment Office, is
soliciting applications for continuing funding under Section 40101(d) of the
Infrastructure Investment and Jobs Act (IIJA), also known as the Bipartisan
Infrastructure Law (BIL)-Preventing Outages and Enhancing the Resilience
of the Electric Grid Formula Grant Program, for $356,090 with a 33%
match requirement; and

with a match requirement of 33%, or $119,291, and has a continuing need

CITIZEN POTAWATOMI NATION that a resolution supporting the Citizen

commitment IS HEREBY APPROVED.

WHEREAS, Resolution #13-13-NR, adopted on August 30, 2012, increased the number of Floodplain
Management Board members to seven and provided for staggered terms of office to more
effectively monitor the floodplain and preserve the institutional memory of the CPN
Floodplain Management Board;

Commission as the independent, regulatory body for all gaming related issues for
the Nation and mandates the Gaming Commission shall consist of three (3)
Gaming Commissioners, all of whom will be recognized members of the Citizen
Potawatomi Nation, appointed by the Tribal Chairman and confirmed by the
Tribal Legislature; and

Mental Health Services Administration (SAMHSA) Tribal Opioid Response (TOR)
grants program has announced the availability of grant funding to address the opioid
crisis in tribal communities by increasing access to FDA-approved medications for
the treatment of opioid use disorder (MOUD), and supporting the continuum of
prevention, harm reduction, treatment, and recovery support services for opioid use
disorder (OUD) and co-occurring substance use disorders. In addition to focusing
on OUD, recipients may also support the full continuum of prevention, harm
reduction, treatment and recovery support services for stimulant misuse and use
disorders, including for cocaine and methamphetamine; and,
WHEREAS, the Citizen Potawatomi Nation is eligible for and desires to apply for up to
$3,750,000 in Tribal Opioid Response funding.

WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal

immemorial, and recognized by treaties with the United States and in the
Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a
separation of powers of the Tribal government by the reservation and delegation of
specific powers to other entities of the Tribal government; and, except for these
specific limitations, all other general powers of government are embodied in the
Legislature's authority "to enact legislation, transact business, and otherwise speak

WHEREAS, the Citizen Potawatomi Nation, a federally recognized Tribe of American
Indians ("CPN") is the owner of that certain real property described in
Exhibit A attached hereto (the "Real Property") and the approximately 63,000
square foot, 126 room hotel facility (together with the Real
Property to be the "Project"); and,
WHEREAS, the Citizen Potawatomi Nation, as a Qualified Active Low-Income Community
Business, is eligible for, and desires to pursue, an allocation of new-market tax
credits to fund the Project; and,

WHEREAS, all documents and any other memoranda, documents, agreements, and certificates
necessary to consummate the transactions contemplated herein will be collectively
referred to as the "Financing Documents"; and
WHEREAS, CPN, acting through the Executive Branch (the "Executive Branch") has been
presented, or will be presented, with substantially final drafts of the
Documents to which it is a party; and
WHEREAS, CPN will benefit from, and the Legislative Branch of CPN (the "Legislature")
believes it is in the best interest of CPN to take the actions set forth below in
connection with the above-described transactions and matters.
NOW, THEREFORE, BE IT RESOLVED, BY THE LEGISLATURE OF THE CITIZEN
POTAWATOMI NATION, that a resolution as follows, IS HEREBY APPROVED:
1. The Citizen Potawatomi Nation shall be, and hereby is, authorized to undertake and
perform all of its obligations under the Financing Documents to which it is a party,
including promissory notes and all such other documents, instruments and borrowing
authorizations, as may be necessary or appropriate to perform its obligations pursuant to
the Financing Documents; and
2. CPN shall be, and hereby is, authorized to take any and all action, to enter into, and to
execute and deliver any such documents, as may be necessary or appropriate to enter into
the Financing Documents and to perform its obligations under such documents; and,
3. John A. Barrett, in his capacity as the Tribal Chairman of the Citizen Potawatomi Nation
(the "Chairman"), is hereby authorized and directed to execute and deliver the Financing
Documents to which Chairman will be a party in substantially the form presented to
Executive Branch with such changes or additions thereto, or deletions therefrom, as such
Executive Branch of CPN executing the same shall approve, which shall be conclusively
evidenced by his execution of such instruments; and,
4. the Chairman is hereby authorized to enter into such other agreements and to take all such
other actions as may be necessary or required of CPN in connection with the Financing
Documents and the other agreements and any and all such other documents on the terms
and conditions set forth in the forms thereof provided to CPN or upon such other or
additional terms as the Authorized Representative of CPN shall deem appropriate; and,
5. the Authorized Representative is hereby authorized to enter into such other agreements and
to take all such other actions as may be necessary or required of CPN in connection with

the Financing Documents and to consummate the transactions contemplated by the
Financing Documents; and,
6. any action heretofore taken by CPN in furtherance of the transactions contemplated by the
foregoing resolutions shall be, and hereby is, ratified, affirmed, and approved in all
respects.
NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and
consistent with the separation of powers defined in the Constitution, an appropriation of
approximately $18,500,000 plus new-market tax credits of approximately $4,000,000 for the
implementation, negotiation, operation, enforcement, procurement, settlement, and or completion
of this contract, compact, regulation or agreement by the Tribal Chairman or his designate IS
HEREBY AUTHORIZED.
CERTIFICATION
