RESOLUTION # 12-01-HHS
A RESOLUTION SUPPORTING AN INCREASE IN FUNDING FOR THE CITIZEN
POTAWATOMI NATION'S SANITATION FACILITIES CONSTRUCTION PROGRAM,
P.L. 86-121 FOR NEW AND LIKE NEW HOMES OFFERED THROUGH THE
U.S. INDIAN HEALTH SERVICE
(PROJECT OK 11-D90)
WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of American
Indians with Constitutional authority under the Act of June 18, 1934 and the
Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat. 1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal
tradition, derived from a history of organized self-government since time
immemorial, and recognized by treaties with the United States and in the
Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a
separation of powers of the Tribal government by the reservation and delegation
of specific powers to other entities of the Tribal government; and, except for
these specific limitations, all other general powers of government are embodied
in the Legislature's authority "to enact legislation, transact business, and
otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters
on which the Nation is empowered to act now or in the future"; and
WHEREAS, the Citizen Potawatomi Nation is submitting a Project Scope entitled
"Citizen Potawatomi Scattered Housing" to the U.S. Indian Health Service (IHS)
under the office of Environmental Health Sanitation Facilities Construction
Branch under the authority of P.L. 86-121 for the construction of sanitation
facilities; and
WHEREAS, the IHS will provide the funds and the Citizen Potawatomi Nation will design and
construct the facilities under the provisions of the Self-Governance Compact that
became effective in fiscal year 1998. The total cost to IHS for providing
sanitation facilities to 35 eligible homes is $329,000.00;

THEREFORE BE IT RESOLVED, that the Citizen Potawatomi Nation fully supports the
entire project for the construction of sanitation facilities as provided by the provisions of its Self-
Governance Compact with IHS/DHHS that became effective in fiscal year 1998, and the multi-
year funding agreement with the IHS/DHHS executed by these parties and which became
effective in fiscal year 2008.
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN
POTAWATOMI NATION, that a resolution supporting an increase in funding offered by the
Indian Health Services for sanitation facilities construction program under P.L. 86-121 for new
and like-new homes IS HEREBY APPROVED.
NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and
consistent with the separation of powers defined in the Constitution, if awarded, an appropriation
of $329,000 from the Office of Environmental Health (or other applicable accounts) for the
implementation, negotiation, operation, enforcement, procurement, settlement, and or completion
of this contract, compact, regulation or agreement by the Tribal Chairman or his designate IS
HEREBY AUTHORIZED.

WHEREAS, schedule conflicts and lack of a quorum necessitate the rescheduling of the
summer quarterly meeting and the additional time to review the tribal
budgets and discuss as a group will be beneficial.
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE
CITIZEN POTAWATOMI NATION, that a resolution rescheduling the summer
quarterly meeting of the Legislature from Thursday, August 25, 2011, to Sunday,
September 18, 2011, IS HEREBY APPROVED.

designate the Chairman of the Election Committee"; and

A RESOLUTION APPOINTING DELEGATES AND ALTERNATE DELEGATES TO
THE NATIONAL CONGRESS OF AMERICAN INDIANS (NCAI) ANNUAL SESSION
AND AUTHORIZING PAYMENT OF NCAI MEMBERSHIP DUES.

WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal

immemorial, and recognized by treaties with the United States and in the
Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a
separation of powers of the Tribal government by the reservation and delegation
of specific powers to other entities of the Tribal government; and, except for
these specific limitations, all other general powers of government are embodied
in the Legislature's authority "to enact legislation, transact business, and
otherwise speak and act on behalf of the Citizen Potawatomi Nation in all matters

WHEREAS, the Citizen Potawatomi Nation is a Member of the Indian Government in Good
Standing of the National Congress of American Indians and meets all
requirements for Tribal membership, pursuant to Article II, Section IIA of the
Constitution of the National Congress of American Indians (NCAI);
WHEREAS, based on the tribal citizenry, the Nation shall have 180 votes according to Article
II, Section 6C of the NCAI Constitution and By Laws;
NOW THEREFORE, BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN
POTAWATOMI NATION, that pursuant to Article III, section 2 of the NCAI Constitution, the
following persons are hereby designated as Delegate and Alternate Delegates, and instructed to
become individual members in Good Standing in NCAI in order to fulfill their responsibilities as
Official Delegates to the National Congress of American Indians Annual Session, Mid-Year
Session, and Executive Council Session for a term of one year.

Indians and remit the requisite membership dues in accordance with NCAI By-Laws, Article III,
Section 3B IS HEREBY APPROVED.
NOW, THEREFORE, BE IT FURTHER RESOLVED, that by act of this resolution and
consistent with the separation of powers defined in the Constitution, an appropriation of
$5,500 from the General Account (or other applicable accounts) for the implementation,
negotiation, operation, enforcement, procurement, settlement, and or completion of this contract,

projects to benefit wildlife and their habitat, including species that are not hunted

WHEREAS, the Citizen Potawatomi Nation, in conjunction with the eagle aviary, tribal Cultural
Heritage Center, Child Development Center and Tribal Youth program will
develop and implement education programs and activities which promote
wildlife and habitat conservation and improve tribal capacity in natural resource
management; and

WHEREAS, the Citizen Potawatomi Nation is submitting a grant application to expand its existing
basic transit service based on the need as evidenced by the increasing number of
transportation requests; and
WHEREAS, the Citizen Potawatomi Nation's proposed Tribal Transit system will include: (1) on-
demand local transportation to and from the Citizen Potawatomi Nation Health Clinic;
(2) on-demand transportation of local Citizen Potawatomi Nation Health Clinic
patients to and from their out-of-town medical appointments; 3) increased recently
expanded on-demand transportation services; and 4) routes to include elder day care

WHEREAS, the United States Department of Housing and Urban Development (HUD) is
soliciting grant applications of up to $800,000 through the Fiscal Year 2012
Indian Community Development Block Grant (ICDBG) program; and
WHEREAS, the Citizen Potawatomi Nation is proposing the construction of a new CPN
Employment & Training building, an 8,000 square foot facility, in Shawnee,
Oklahoma under Public Facilities and Improvement Projects; and
WHEREAS, the Employment & Training Public Service Facility will meet an essential
community need by upgrading and improving the current public facility that
provides community assistance to low-to-moderate income beneficiaries; and
WHEREAS, a public meeting notice has been published and a public meeting will be held to
solicit comments from Tribal and community members regarding the proposed

WHEREAS, IHS notified the Citizen Potawatomi Nation by letter dated June 27, 2011, of the
Nation's selection as a recipient of funding through the United States
Environmental Protection Agency (EPA) under the Indian Set-Aside provisions
of the Clean Water Act (CWA) for the wastewater facilities portion of the
needed sanitation facilities within the CPN service area; and

($2,100). The Nation will design and construct the facilities under the provisions
of the Self-Governance Compact that became effective on October 1, 1998. The
total cost for providing sanitation facilities to 33 homes is $207,000; and

WHEREAS, the Citizen Potawatomi Nation is an eligible applicant with a current Hazard Mitigation
Plan that identifies tornadoes as a high priority hazard due to the potential loss of life and
destruction of property caused by the high winds resulting from frequent tornadoes; and
WHEREAS, the Tribal Community Storm Safe Room construction project will mitigate the potential
damage and loss of life within the Citizen Potawatomi Nation resulting from the hazard
of tornadoes by providing safe and secure shelter during a tornado event; and

WHEREAS, an Engineering Feasibility Study has been completed that shows the project is feasible

WHEREAS, the Tribal Community Storm Safe Room construction project requires that the Tribe have
long-term operation and maintenance and obligations and associated costs to maintain the
Community Story Safe Room in a manner that will achieve the proposed hazard
mitigation; and
WHEREAS, there is a 25% non-Federal cost share requirement, cash or in-kind, for which the Citizen
Potawatomi Nation is required to contribute; however, the Tribe will plan to contribute a
total of up to 42% of total project costs;
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN

WHEREAS, there are improvements and the property has ingress and egress for adequate
traffic services. The proposed land use is agriculture and is necessary to facilitate
tribal self determination and agriculture.

States, its agents and employees, against any lawsuits, loss, expense, and claim
potentially filed against the tribe for any damages relating to asbestos and lead-

WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of
American Indians with Constitutional authority under the Act of June 18,
1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat.
1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in
Tribal tradition, derived from a history of organized self-government since
time immemorial, and recognized by treaties with the United States and in
the Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution
provides for a separation of powers of the Tribal government by the
reservation and delegation of specific powers to other entities of the Tribal
government; and, except for these specific limitations, all other general
powers of government are embodied in the Legislature's authority "to
enact legislation, transact business, and otherwise speak and act on behalf
of the Citizen Potawatomi Nation in all matters on which the Nation is
empowered to act now or in the future"; and

WHEREAS, the Legislature of the Citizen Potawatomi Nation has authorized the
Executive Branch of the Citizen Potawatomi Nation to enter into a legally
binding agreement, and to sign all such documents on behalf of the
Nation, in the amount of seventy million dollars ($70,000,000.00),
including, but not limited to, the Limited Waiver of Sovereign Immunity
contained therein.
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE
CITIZEN POTAWATOMI NATION that a resolution authorizing the Citizen
Potawatomi Nation (A) to enter into an irrevocable limited waiver of sovereign immunity
in an amount of $70,000,000 or, if less, the outstanding principal amount of the
Revolving Loans, and the Executive Officers of the Nation are hereby authorized to
execute said Limited Waiver of Sovereign Immunity on behalf of the Nation in a form
substantially as follows, and (B) to provide herein an independent, irrevocable limited
waiver of sovereign immunity on the same basis for the same purpose as follows, IS
HEREBY APPROVED.
Section 9.9 Limited Waiver of Sovereign Immunity; Consent to Jurisdiction, etc..
Limited Waiver of Sovereign Immunity; Consent to Jurisdiction. Nothing herein shall be
deemed to be a general waiver of the Citizen Potawatomi Nation's sovereign immunity
from suit, except that the Citizen Potawatomi Nation(the Borrower) hereby provides an
irrevocable limited waiver of its sovereign immunity in an amount of $70,000,000 or, if
less, the outstanding principal amount of the Revolving Loans, plus any interest, fees and
any other amounts due or which may become payable by the Borrower hereunder or
under any other Loan Document, and consents to suit, enforcement and collection of
judgment or award, injunction, specific performance, or declaratory relief as to any
right, obligation or duty arising out of or under any or all of the Loan Documents, and
for such purposes the Borrower hereby expressly submits to and consents to the
jurisdictions of (i) the United States District Court for the District of Oklahoma, or (ii) in
the event that the United States District Court for the District of Oklahoma determines
that it lacks jurisdiction over any such proceeding or otherwise fails or refuses to act,
then to the jurisdiction of the Oklahoma State District Court, and (iii) if none of the
foregoing courts shall have jurisdiction, then any other court having jurisdiction over the
matter and parties. The purpose of this explicit waiver of tribal sovereign immunity is to
induce the Lenders to enter into the transactions contemplated by the Loan Agreement
and is intended to allow the Lenders to enforce any and all rights the Lenders may have
against the Borrower under the Loan Agreement, any of the Loan Documents, or under

law. The Borrower understands that the Lenders would not enter into the transactions
contemplated by the Loan Agreement without this waiver of sovereign immunity. The
Lenders understand that the Borrower grants this limited waiver of sovereign immunity
as a fairness doctrine and its belief in equity in contracting. It is expressly understood
and agreed that, regardless of the court which may hear any suit or dispute arising out of
or relating to the Loan Agreement or any of the Loan Documents, the Loan Agreement
and the Loan Documents shall be construed in accordance with and governed by the laws
of the State of Oklahoma (other than its conflicts of laws provisions) and by applicable
federal law, except to the extent that the Uniform Commercial Code of the State of
Oklahoma does not recognize a perfected Lien on any Collateral pursuant to the Security
Documents, and the Borrower's Uniform Commercial Code does recognize such a
perfected Lien, the Borrower's Uniform Commercial Code shall apply. The waivers and
consents described in this Section shall inure to the benefit of the Lenders and each other
Entity who is entitled to the benefits of the Loan Documents (including without limitation
the indemnified persons referred to in Section 9.12 of the Loan Agreement). The Lenders
and such other Entities shall have and be entitled to all available legal and equitable
remedies.

Tribal law enforcement and justice systems with the stipulation that these funds
are available for a variety of specified purposes as outlined in ten "Purpose
Areas"; and
WHEREAS, the Citizen Potawatomi Nation is eligible for and desires to apply for funding
under the two following three-year project Purpose Areas: Purpose Area 1,

department and hiring additional officers at a cost of $561,525 with no match
required; and
WHEREAS, under Purpose Area 6, the Citizen Potawatomi Nation is proposing to enhance
ongoing direct services provided to victims of domestic violence, at a cost of
$898,472; and
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE CITIZEN

innovative programs to minimize health and safety risks that result from high
energy burdens on low income families by funding programs that include, but are
not limited to, (1) purchase and/or installation of energy efficiency supplies such
as hot water tank and pipe wraps, insulated blinds, ceiling fans, energy smart
light bulbs, and Energy Star appliances, (2) heating/cooling components such as
window air conditioners, propane tanks/lines, programmable thermostats, and gas

assess health and safety issues; and
WHEREAS, if funded, the Citizen Potawatomi Nation will receive an estimated $50,000 in
REACH funds and $10,000 in EEES funds, for a total of $60,000.

economic benefit of Indian mineral owners.; and
WHEREAS, the Citizen Potawatomi Nation is submitting a funding request under the BIA's EMDP
for a proposed mineral development feasibility study to assess and evaluate the
characteristics of sand and gravel on tribal trust land for the potential economic
development benefit of the Citizen Potawatomi Nation; and

WHEREAS, the Citizen Potawatomi Nation is submitting a funding proposal for $100,603.00 over a
one-year period which includes the required 5% match; and

quality program by building tribal capacity to conduct baseline water quality monitoring

A RESOLUTION SUPPORTING THE ADDITION OF NEW ROAD MILES TO
THE NATION'S EXISTING INDIAN RESERVATION ROAD INVENTORY AND
LONG RANGE TRANSPORTATION PLAN AND AUTHORIZING SUBMITTAL
OF THE ADDITION TO THE BUREAU OF INDIAN AFFAIRS.
WHEREAS, the Citizen Potawatomi Nation is a federally recognized Tribe of
American Indians with Constitutional authority under the Act of June 18,
1934 and the Oklahoma Indian Welfare Act of June 26, 1936, (49 Stat.
1967); and
WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in
Tribal tradition, derived from a history of organized self-government since
time immemorial, and recognized by treaties with the United States and in
the Constitution of the United States; and
WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution
provides for a separation of powers of the Tribal government by the
reservation and delegation of specific powers to other entities of the Tribal
government; and, except for these specific limitations, all other general
powers of government are embodied in the Legislature's authority "to
enact legislation, transact business, and otherwise speak and act on behalf
of the Citizen Potawatomi Nation in all matters on which the Nation is
empowered to act now or in the future"; and
WHEREAS, the Citizen Potawatomi Nation has a total of 1118.2 existing road miles on
its Bureau of Indian Affairs Indian Reservation Road Inventory; and
WHEREAS, a total of 43.3 additional road miles have been identified within the
Nation's jurisdiction and are eligible for inclusion on the Citizen
Potawatomi Nation's Indian Reservation Roads Inventory; and
WHEREAS, the criteria used to select and evaluate the proposed road miles include (1)

connects active centers of population, (2) contributes to industrial
activities, (3) contributes to economic development, (4) provides access to
jobs, (5) contributes to law and order, (6) removes isolation, (7) provides

WHEREAS, the proposed road miles provide access to places of employment and
economic development provided at the Citizen Potawatomi Nation Tribal
Headquarters and FireLake Entertainment Center; and
WHEREAS, the proposed roads miles are located either on tribal trust land or adjacent
to individual and tribal trust lands.
NOW, THEREFORE BE IT RESOLVED BY THE LEGISLATURE OF THE
CITIZEN POTAWATOMI NATION that a resolution supporting the addition of 43.3
new road miles, updating the Nation's existing road inventory and requesting the Bureau
of Indian Affairs add all of the requested new road miles to the Nation's Indian

WHEREAS, funding for the Transportation Improvement Plan is estimated to be $8,400,000 for FY
2011 through FY 2013; and
WHEREAS, the Chairman has reviewed and prioritized the combined FY 2011 through FY 2013
Transportation Improvement Plan which must be submitted to the Bureau of Indian
Affairs; and

WHEREAS, this Transportation Improvement Plan will be amended by resolution, if

WHEREAS, Citizen Potawatomi Nation is submitting a grant application for funding for three
years (FY2012, FY2013 and FY2014) under both sub grants to be awarded for up
to a three-year grant period; and

WHEREAS, the Citizen Potawatomi Nation has sovereign powers that are inherent in Tribal tradition,

WHEREAS, Article 4, Section 3 of the Citizen Potawatomi Nation Constitution provides for a
separation of powers of the Tribal government by the reservation and delegation of
specific powers to other entities of the Tribal government; and, except for these specific
limitations, all other general powers of government are embodied in the Legislature's
authority "to enact legislation, transact business, and otherwise speak and act on behalf of

WHEREAS, the Secretary of the Interior approved the transfer of trust fund responsibility to the Citizen
Potawatomi Nation and its wholly owned enterprise, First National Bank & Trust
Company; and
WHEREAS, the Secretary of the Interior approved a Trust Fund Management Plan for First National
Bank & Trust Co.; and
WHEREAS, the approved Plan, dated November 1996, requires annual budgets to be prepared by the
Tribal Legislature for approval by the General Council in accordance with the Acts of
Congress cited in the Tribal Constitution and the federal statutes specific to the Indian
Claims Commission, within which Trust Funds and earnings from Trust Funds retain
their original tax exempt characteristics; and
WHEREAS, the Legislature has prepared the annual budget which will commence

WHEREAS, the Citizen Potawatomi Nation signed an Agreement with the National Park
Service on July 25, 2007 to assume historic preservation duties on Tribal lands
that were previously the responsibility of the State; and

Americans age 18 and over who have been diagnosed with diabetes; and
WHEREAS, the Citizen Potawatomi Nation proposes to provide a Healthy Heart Program
aimed at cardiovascular disease risk reduction in Native Americans with diabetes
through intensive activities including case management, disease management,
and self-management education; and

WHEREAS, the IHS will provide the funds and the Citizen Potawatomi Nation will design and
construct the facilities under the provisions of the Self- Governance Compact that
became effective in fiscal year 1998. The total cost to IHS for providing
sanitation facilities to 29 eligible homes is $247,000.00;

Public Transportation on Indian Reservations Program, a/k/a the Tribal Transit
Program, and is soliciting grant applications; and
WHEREAS, the Citizen Potawatomi Nation is submitting a grant application to expand its
existing basic transit service based on the need as evidenced by the increasing
number of transportation requests; and
WHEREAS, the Citizen Potawatomi Nation's proposed Tribal Transit system will include: (1)
on-demand local transportation to and from the Citizen Potawatomi Nation
Health Clinic; (2) on-demand transportation of local Citizen Potawatomi Nation
Health Clinic patients to and from their out-of-town medical appointments; (3)

increase recently expanded in-demand transportation services; and (4) routes to
include elder day care and other nutrition service sites and general transportation

personnel, facilities, supplies, driver cell phones and vehicle insurance; and
WHEREAS, the goals will be met if funding is received from the Federal Transit Administration
as a result of the grant application.
